Terms & Conditions

§ 1 Scope

These terms and conditions apply to all contracts between MirAmi Trading GmbH and its customers concerning sourcing, trade, logistics and consulting services, unless expressly agreed otherwise in an individual case.

§ 2 Services

The nature and scope of the services follow from the respective quote or order confirmation. Quotes are non-binding unless expressly designated as binding.

§ 3 Quotes and landed cost

Landed-cost calculations are prepared on the basis of the terms known at the time of the quote and are valid for the period stated in the quote.

§ 4 Prices and payment

All prices are exclusive of statutory VAT, where applicable. Payment terms follow from the respective quote.

§ 5 Incoterms and transfer of risk

Delivery and transfer of risk are governed by the agreed Incoterms in their respective current version.

§ 6 Compliance and export control

The customer ensures that the commissioned transactions do not violate export control, sanctions or embargo provisions, and provides the required information (e.g. on end use).

§ 7 Liability

We are liable without limitation in cases of intent and gross negligence as well as under the Product Liability Act. Otherwise, liability is limited to the foreseeable damage typical for this type of contract.

§ 8 Final provisions

The law of the Federal Republic of Germany applies. The place of jurisdiction, where legally permissible, is the registered office of MirAmi Trading GmbH. Should individual provisions be invalid, the remainder of the contract remains effective.
